General Terms and Conditions for Services

These General Terms and Conditions ("Terms") apply to all services ("Services") provided by Mesh Start ("Company," "we," "us") to you ("Client," "you"). The specific details of the Services will be outlined in a separate Statement of Work ("SOW") or Quotation, which, together with these Terms, forms the entire agreement.
1. Services and Scope of Work
The Company agrees to perform the Services as described in the applicable SOW. All fees and timelines provided are good-faith estimates. Any work requested that falls outside the scope of the agreed-upon SOW will necessitate a written Change Order, which will outline additional fees and timeline impacts.
2. Client Responsibilities
The Client agrees to provide timely access to necessary personnel and information, designate a single point of contact, and provide timely feedback. Delays in Client response may result in project delays.
3. Fees and Payment
Fixed-fee packages require a 50% deposit upfront. Invoices for all other services are due within fifteen (15) days of receipt and are subject to a late fee of 1.5% per month if overdue. The Client also agrees to reimburse pre-approved out-of-pocket expenses.
4. Scheduling and Availability
Our services are delivered on a scheduled, project basis. This Agreement does not include on-demand, 24/7, or emergency support services.
5. Confidentiality
Both parties agree to hold each other's Proprietary or Confidential Information in strict confidence.
6. Limitation of Liability
In no event shall the Company's total liability exceed the total amount of fees paid by the Client for the specific SOW from which a claim arises. The Company is not liable for any indirect or consequential damages, nor for issues caused by third-party products.
7. Term and Termination
Either party may terminate this Agreement with thirty (30) days written notice. In the event of termination, the Client agrees to pay for all work performed up to the termination date.
8. General Provisions
This Agreement shall be governed by the laws of the state of Pennsylvania. This document, together with the SOW, constitutes the entire agreement between the parties.
